RubicPay Terms of Service

1. Introduction and Acceptance

These Terms of Service (“Terms”) govern your access to and use of RubicPay’s websites, checkout pages, dashboards, APIs, software, and related services (collectively, the “Platform”).

By creating an account, placing an order, offering products or services, or otherwise using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.

2. Scope and Definitions

In these Terms, “RubicPay”, “we”, “us”, and “our” mean the RubicPay entity operating the Platform. “Seller” means a business or individual using seller features to market or deliver offerings. “Buyer” means a customer purchasing through the Platform.

These Terms apply to all users, including Buyers, Sellers, and affiliates.

3. Eligibility and Account Registration

You must be at least 18 years old (or the age of majority in your country) and legally able to enter into binding agreements. If you act for a company, you confirm you are authorized to bind that company.

You must provide accurate and up-to-date account, business, and payout details and keep your credentials secure. You are responsible for all activity under your account.

4. Seller Onboarding and Compliance

Access to payment or payout features may require identity and business verification, including KYC/AML checks through regulated payment partners.

Sellers must promptly provide requested documentation and cooperate with ongoing compliance reviews. We may restrict features or payouts when verification, regulatory, or risk requirements are not met.

5. Platform Use Rules and Restrictions

You must use the Platform lawfully and may not:

  • engage in fraud, deception, money laundering, or sanctions violations;
  • circumvent risk controls, payment controls, or technical safeguards;
  • upload unlawful, infringing, or harmful content;
  • use bots or scraping tools without written permission;
  • misrepresent your identity, products, pricing, or fulfillment practices.

We may investigate suspected violations and take protective actions, including account suspension or termination.

6. Payments, Fees, and Settlements

Platform fees, transaction fees, subscriptions, and other charges are disclosed in your pricing terms, order form, or dashboard. By using paid features, you authorize these charges.

Payment processing and settlements are handled by regulated payment partners. RubicPay may apply deductions, reserves, or offsets for refunds, disputes, chargebacks, penalties, or unpaid balances where permitted by law.

7. Refunds, Chargebacks, and Financial Risk Controls

Refund handling may depend on product type, seller policy, applicable law, and payment partner requirements. To protect the Platform and users, we may place temporary holds, reserves, or payout delays for fraud prevention, dispute management, and compliance.

Sellers are financially responsible for chargebacks, reversals, and related costs connected to their offerings.

8. Buyer Terms and EU Consumer Rights

Buyers receive clear pre-contract information at checkout, including total price, billing cadence (for subscriptions), and applicable conditions.

Where EU consumer law applies, Buyers may have statutory rights including legal guarantees and, in some cases, a 14-day withdrawal right. For digital content or digital services supplied immediately, withdrawal rights may be reduced or waived where legally permitted and expressly acknowledged at checkout.

9. Taxes and VAT

Pricing may include or exclude VAT depending on the transaction context and local law. Where required, VAT or similar indirect taxes will be calculated and charged at checkout.

Sellers remain responsible for their direct taxes (such as income or corporate tax) and for keeping tax information accurate.

10. Data Protection and Privacy

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR) where applicable.

Depending on context, RubicPay and Sellers may act as independent controllers or as controller and processor. Sellers must process personal data lawfully, implement appropriate security measures, and respond to data subject rights requests as required by law.

11. Content Ownership and Intellectual Property

Sellers retain ownership of their original content. You grant RubicPay a non-exclusive, royalty-free license to host, process, display, and use content as needed to operate, secure, and improve the Platform, including compliance and support functions.

RubicPay and its licensors retain all rights in Platform software, design, trademarks, and infrastructure. Except as expressly allowed, you may not copy, reverse engineer, or commercially exploit Platform technology.

12. Third-Party Services and Integrations

The Platform may integrate third-party services (for example payment providers, analytics tools, communication tools, or app stores). Your use of those services is subject to their own terms and policies.

We are not responsible for outages, policy actions, or operational decisions of third-party providers.

13. Suspension, Restriction, and Termination

We may suspend or terminate access where reasonably necessary for security, fraud prevention, legal compliance, payment partner requirements, or breaches of these Terms.

Upon termination, rights to use the Platform end immediately, but provisions that should survive by nature (including payment obligations, liability limits, and indemnities) remain in effect.

14. Warranties Disclaimer

To the fullest extent permitted by law, the Platform is provided “as is” and “as available.” We do not guarantee uninterrupted availability, error-free operation, or suitability for a specific purpose.

15. Limitation of Liability

To the fullest extent permitted by law, RubicPay is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunity.

Nothing in these Terms excludes or limits liability where exclusion is not permitted under applicable law, including liability for fraud, willful misconduct, or personal injury caused by negligence.

16. Indemnification

You agree to indemnify and hold harmless RubicPay, its affiliates, directors, officers, employees, and service providers from claims, liabilities, losses, and reasonable costs arising from your use of the Platform, your offerings or content, or your breach of these Terms or applicable law.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the EEA country where the relevant RubicPay contracting entity is established, together with applicable EU law, without prejudice to mandatory consumer protections in your country of residence.

For business users, disputes are subject to the competent courts of that country, unless otherwise agreed in writing. Consumers may also use available EU out-of-court complaint and online dispute resolution channels where applicable.

18. Changes to These Terms

We may update these Terms to reflect legal, regulatory, operational, or product changes. Updated Terms are effective when published unless a later date is stated. Continued use of the Platform after the effective date means you accept the revised Terms.
